Terms of Service

These Terms of Service ("Terms") govern your use of the MetalCloud platform and services ("Services") provided by Interlink Digital Group Limited t/a MetalCloud ("MetalCloud", "we", "our", or "us"). By using our Services, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

MetalCloud provides cloud computing services utilizing Apple Silicon hardware. Our Services include:

• On-demand GPU compute resources
• API access for job submission and management
• Python SDK and developer tools
• Access to pre-configured AI/ML models

3. Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Engage in cryptocurrency mining without authorization
• Attempt to access systems or data without authorization
• Interfere with or disrupt the Services
• Generate, store, or transmit illegal content
• Engage in activities that could harm minors
• Send spam or unsolicited communications
• Reverse engineer or attempt to extract source code

We reserve the right to suspend or terminate accounts that violate these terms.

5. Payment and Billing

5.1 Pricing

Our Services are billed based on compute usage as described on our pricing page. Prices may change with 30 days' notice.

5.2 Payment

• Payment is processed through Stripe
• You authorize us to charge your payment method for Services used
• Usage is billed per-second with no minimum commitment
• Invoices are generated monthly

5.3 Credits

Promotional credits expire 90 days after issuance and have no cash value. Credits are non-transferable and non-refundable.

6. Intellectual Property

6.1 Your Content

You retain all rights to code, data, and other content you submit to our Services ("Your Content"). You grant us a limited license to process Your Content solely to provide the Services.

6.2 Our Services

MetalCloud and its licensors retain all rights to the Services, including software, APIs, documentation, and trademarks. These Terms do not grant you any rights to our intellectual property except as necessary to use the Services.

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using the Services, you consent to such processing.

• Job data is processed on host machines and not retained after job completion
• We implement industry-standard security measures
• You are responsible for backing up Your Content

8. Service Level

We strive to provide reliable Services but do not guarantee:

• Uninterrupted or error-free operation
• Specific availability or uptime percentages
• Preservation of Your Content beyond stated retention periods

Enterprise customers may negotiate separate SLA terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES

10. Indemnification

You agree to indemnify and hold harmless MetalCloud from any claims, damages, or expenses arising from:

• Your use of the Services
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

11.1 By You

You may close your account at any time through the dashboard or by contacting support. You remain responsible for any charges incurred before closure.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay for Services
• Engage in fraudulent activity
• Pose a security risk to our platform

12. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction.

14. General

• Entire Agreement: These Terms constitute the entire agreement between you and MetalCloud
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
